Terms of service

These terms set the practical rules for using UPWRKS and keeping each company's workspace secure.

1. Agreement and authority

By creating a workspace, accepting an invitation or using UPWRKS, you agree to these terms. If you use the service for a company or other organisation, you confirm that you are authorised to act for it. If you do not agree, do not use the service.

2. The service

UPWRKS provides digital job cards, recurring maintenance schedules, checklists, equipment history, work records and related reporting. Features may evolve while the service is in beta. We may improve, replace or withdraw a feature, and will try to give reasonable notice where a material change affects ordinary use.

3. Accounts and company access

Each company administrator is responsible for inviting the right people, assigning suitable roles and removing access when it is no longer needed. Users must keep PINs, passkeys, email links and devices secure, must not share credentials, and must promptly report suspected unauthorised access. A user may belong to more than one company, but each membership, role and set of records remains separate.

4. Customer data

The customer keeps ownership of the maintenance records and other content it provides. The customer gives UPWRKS permission to host, copy, process and display that content only as needed to provide, secure, support and improve the service. The customer is responsible for having a lawful basis to upload personal information, photographs, signatures and workplace records.

5. Acceptable use

You may not use UPWRKS to break the law, infringe another person's rights, upload malicious code, probe or bypass security, access another company's data, overload the service, or help somebody else do any of those things.

6. Availability and maintenance decisions

We work to keep UPWRKS reliable, but do not promise uninterrupted or error-free availability. The service is a recordkeeping and coordination tool; it does not replace legally required inspections, safety procedures, competent technical judgment or the customer's responsibility for plant and workplace safety. Customers should maintain appropriate backups or exports of records that are critical to their operations.

7. Intellectual property

UPWRKS and its software, design, documentation and branding remain ours or our licensors'. These terms grant a limited, non-exclusive and revocable right to use the service for the customer's internal operations while its account is active.

8. Suspension and ending use

A customer may stop using the service at any time. We may suspend access where needed to address a security risk, unlawful use, serious breach or threat to the service or another customer. Where practical, we will explain the issue and allow a reasonable opportunity to correct it.

9. Disclaimers and responsibility

To the extent permitted by applicable law, UPWRKS is provided as available and without implied warranties beyond those that cannot lawfully be excluded. Neither party is responsible for indirect or consequential loss that was not reasonably foreseeable. Nothing in these terms excludes responsibility that applicable law does not allow a party to exclude.

10. Privacy, changes and contact

Our privacy policy explains how information is handled. We may update these terms when the service or applicable requirements change; the new date will appear above. Questions can be sent to hello@upwrks.com.
